Fill Contract

The contract behind every fill on algoflexs.com: who the desk is, what one payment buys, how the card is collected, when a fill is final, and where the desk's responsibility ends.

§1

Defined terms

§1.1
Desk: Algo Flexs, the party selling and licensing on algoflexs.com. Build: a compiled MetaTrader 5 program (.ex5) engineered by the desk. Strategy: a named model; grade: one rung of that model’s ladder, sold as its own build.
§1.2
Execution ticket: the page on which a grade is paid for. Fill: a settled payment for one grade, identified by a fill reference. Package: the single ZIP a fill releases. Execution Key: the reference issued with a fill that identifies the build to the desk. Processor: Whop, which collects the card payment.
§1.3
Term: the 12-month period, counted from the day the charge settles, during which a fill licenses its build.
§2

The counterparty, and what it is not

§2.1
Algo Flexs is a trading name, not an incorporated company. The desk is operated independently by an individual who has completed identity verification with our payment processor. Full legal and contact particulars are supplied on request to anyone who writes to [email protected].
§2.2
Algo Flexs engineers software and licenses it. It is not a broker, not a dealer, not a fund manager, not a custodian, not an exchange and not an adviser, and it holds no authorisation to act as any of these.
§2.3
No money of yours is ever deposited with, routed through or held by the desk. The price of a licence is the only sum that moves.
§2.4
A licensed build places orders on the brokerage account you opened yourself, using credentials only you possess. Each order is your instruction, given through software you run, on capital that is yours. The gain or loss it produces is yours.
§2.5
The desk cannot see your balance, your positions or your history, and cannot intervene in any of them.
§3

What is sold, warranted and not warranted

§3.1
One fill buys one thing: a 12-month licence to a single grade of a single strategy, paid for once. The desk lists no subscription, no bundle and no service beyond the package and the desk mailbox.
§3.2
The package holds two files, the compiled build for that grade and its execution manual (PDF) setting out the profile the grade is licensed for. An Execution Key is issued at the moment the gate opens, printed there, and repeated once by email.
§3.3
The term starts on the day the charge settles and ends 12 months later. It does not extend itself, it is never perpetual, and no charge follows the first unless you execute another ticket. The term is printed on the ticket above the payment frame.
§3.4
Builds and this site are provided as delivered. To the extent the law allows, the desk excludes every implied warranty, including merchantability, fitness for any purpose and uninterrupted or error-free operation.
§3.5
Above all, the desk does not warrant that a build will return a profit, avoid a loss, or repeat anything a ledger has recorded. The exposure notice (CD-04) and the performance basis (CD-05) form part of every fill.
§3.6
The rights the licence carries, and the conduct that ends them, are the subject of the licence grant (CD-02).
§4

Platforms and brokers

§4.1
MetaTrader 5 is published by a third party under its own terms, and your broker is a third party under its own. Platform outages, changes to symbol lists, price feeds, spreads, commissions, fill quality, margin calls and account decisions belong to them. The desk does not warrant their conduct and cannot be answerable for it.

Price, processor and tax

§5.1
Seller and licensor of every build on this site: Algo Flexs. Whop's part in a fill is to collect the card payment inside its own frame and remit the proceeds to the desk; the licence, the build and the support behind it all come from Algo Flexs.
§5.2
Your card number is typed into the processor's frame and read by the processor's systems. It is never transmitted to the desk and the desk has no way to retrieve it.
§5.3
Using that frame puts you under the processor's own transaction terms as well as these; both govern the same fill.
§5.4
Prices are listed in United States dollars. If the frame offers a different settlement currency, the conversion is the processor's. Any sales tax, VAT or import duty your own country levies on a software licence is for you to declare and pay.
§6

Formation and capacity

§6.1
A fill may be executed only by a person aged 18 or over with the legal capacity to contract.
§6.2
Whether automated trading is lawful in your jurisdiction, and whether your broker permits an expert advisor on your account, are facts you establish before paying. Neither is something the desk can look up for you, and a fill executed where either answer is no remains a fill.
§6.3
Reading algoflexs.com binds you to the parts of this document that concern the site. Settling a charge on an execution ticket binds you to the whole of it, for that fill.
§6.4
Five documents make up the contract for a fill: this one, the licence grant (CD-02), reversals (CD-03), the exposure notice (CD-04) and the performance basis (CD-05). Where two of them appear to differ on a point, the more specific document governs that point.
§6.5
Unsure about a clause? Send it to [email protected] before the ticket is paid. Asking is free; settling is, in the ordinary course, irreversible (§8).
§7

Property, and what may not be done with it

§7.1
Every build, the Algo Flexs name and mark, the manuals and the text and images on this site belong to Algo Flexs. A fill grants the use described in CD-02 and transfers no title.
§7.2
Do not copy, forward, sell, lend, publish or upload a build or any file from a package, in whole or in part.
§7.3
Do not decompile, disassemble or otherwise attempt to reconstruct a build, and do not tamper with any check it performs.
§7.4
Do not run a build for anyone but yourself: no managed accounts, no copy-trading feeds, no signal services.
§7.5
Do not attribute to a build any figure, claim or endorsement the desk has not itself published.
§7.6
Do not use a build where your law or your broker's rules forbid it.
§7.7
A breach of this section ends the licence at once, without refund, and the desk may refuse further fills.
§8

Release and finality

§8.1
The gate opens as soon as the processor calls the charge settled, and the archive can be taken from there. One address serves the whole term, and the confirmation email links straight back to it.
§8.2
Once a file has been released it cannot be un-released, so a settled fill is treated as complete on release. The narrow set of cases the desk reverses without argument is listed under reversals (CD-03).
§8.3
A card dispute filed before the desk has been asked to look at a problem is the slowest route for you and the most expensive for the desk. Write first; a reply follows within one business day.
§9

Liability

§9.1
To the extent the law allows, Algo Flexs is not liable for trading losses, missed gains, or any indirect, special, incidental or consequential loss arising from a build or from this site.
§9.2
Where liability cannot be excluded, it is limited to the sum paid for the fill that gave rise to the claim.
§9.3
You will hold Algo Flexs harmless against any third-party claim caused by your use of a build, your trading, or your breach of these terms.
§10

Consumer protection

§10.1
Nothing in this document removes a protection that the consumer statutes of your home country grant and do not allow to be waived. Where a clause conflicts with such a protection, the clause yields to the extent of the conflict and no further.

Versions and contact

§11.1
The review date at the head of this document identifies the version in force. A later version applies to fills executed after its review date and to continued use of the site; it does not reach back to a fill already settled.
§11.2
